These Terms & Conditions ("Terms") govern your access to and use of the websites, applications, content, and exam-preparation products offered by Greenwood Forge LLC ("Greenwood Forge," "we," "us," or "our") (together, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. The Services
Greenwood Forge provides software and study materials designed to help people prepare for high-stakes professional examinations. We may add, change, or discontinue features at any time.
2. Your account
Some features require an account. You agree to provide accurate information, to keep your login credentials confidential, and to be responsible for all activity under your account. Accounts are for a single individual, you may not share, sell, or transfer your account or access to the Services, and we may suspend accounts that appear to be shared.
3. Purchases and billing
- Paid access to Top of the List is a one-time purchase, sold and processed through Stripe. By purchasing, you also agree to Stripe's applicable terms.
- The price is shown at checkout before you complete your purchase.
- Except where required by law or expressly stated, payments are non-refundable. Any refund terms presented at the time of purchase control.
4. Acceptable use
You agree not to: copy, reproduce, resell, or redistribute our content; share access with others; reverse-engineer or scrape the Services; interfere with their operation or security; or use the Services for any unlawful purpose.
5. Intellectual property
The Services, including all software, text, questions, explanations, graphics, and branding, are owned by Greenwood Forge or its licensors and are protected by intellectual-property laws. We grant you a limited, personal, non-transferable, non-exclusive license to use the Services for your own exam preparation. All rights not expressly granted are reserved.
6. Educational use and no guarantee
Our materials are independent study aids provided for educational purposes. Greenwood Forge is not affiliated with, endorsed by, or sponsored by any examining authority, employer, or government agency that administers any examination. We do not guarantee any particular score, result, promotion, or outcome. The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
7. Limitation of liability
To the fullest extent permitted by law, Greenwood Forge and its owners, employees, and providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the Services. Our total liability for any claim relating to the Services will not exceed the amount you paid us in the twelve months before the event giving rise to the claim.
8. Indemnification
You agree to indemnify and hold harmless Greenwood Forge from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Services or violation of these Terms.
9. Termination
We may suspend or terminate your access to the Services at any time if you violate these Terms or to protect the Services. You may stop using the Services at any time.
10. Governing law
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in New York for any dispute that is not subject to other agreed dispute-resolution terms.
11. Changes to these Terms
We may update these Terms from time to time. We will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect means you accept the updated Terms.
